Please carefully review these Terms before using TidyBooks.
By using TidyBooks, you acknowledge that you have read, understood, and agree to these Terms and Conditions. If you do not agree, please do not use the service.
Interpretation and Definitions
Interpretation
Capitalized words carry meanings defined below, whether singular or plural.
Definitions
- Account: A unique account created for you to access TidyBooks.
- Company ("we," "us," or "our"): TidyBooks.
- Content: Data, documents, or materials uploaded, forwarded, or submitted by users.
- Device: Any tool (computer, phone, tablet) used to access TidyBooks.
- Service: The TidyBooks platform, accessible at https://tidybooks.tax.
- Subscription: Paid access to enhanced features of TidyBooks.
- Free Trial: A time-limited evaluation period during which you may use a paid plan without entering payment details. The trial duration is communicated at signup.
- Third-Party Services: External services you connect to TidyBooks, including accounting software (QuickBooks, Xero), cloud storage (Google Drive, OneDrive, Dropbox), email providers (Gmail, Outlook, and any IMAP-compatible mailbox), and messaging platforms (WhatsApp).
- Accountant Practice: An accountant practice or professional services firm entity that manages multiple client organizations through TidyBooks.
- Managed Client: A client organization fully managed by an accountant practice without a separate client user account.
- You: Individual or entity accessing TidyBooks.
Acknowledgment
By using TidyBooks, you agree to these Terms and confirm you're a legal adult (at least 18 years old or the age of majority in your jurisdiction). TidyBooks is not intended for minors, and minors are prohibited from using the Service.

Use of Service
You agree to:
- Use TidyBooks solely for storing, organizing, managing, and exporting your business documents, especially financial documents.
- Provide accurate and up-to-date account information.
- Comply with all applicable laws.
- Maintain the confidentiality of your account credentials and connected service tokens.
Prohibited Uses
You may not:
- Attempt to exploit or interfere with the security of TidyBooks.
- Reverse-engineer or copy any part of the Service.
- Use automated tools (bots, scrapers) to extract information beyond normal Service use.
- Upload unlawful or harmful content.
- Share account access credentials with unauthorized parties.
- Use the Service to process documents for which you do not have authorization.
- Circumvent usage limits, quotas, or licensing restrictions.
Prohibited Information
You must not submit or upload content that:
- Is defamatory, obscene, racist, or hate speech.
- Violates intellectual property rights.
- Contains malware, viruses, or malicious code.
- Harasses others or causes legal liability.
- Is unlawful in your jurisdiction.
- Contains illegal documents or materials of any kind.
- Contains pornographic content, adult materials, or sexually explicit content.
- Includes any form of illegal, fraudulent, or unauthorized documents.
Document Uploads and Email Forwarding
- You may upload documents in bulk via the platform or connected Third-Party Services.
- Each business account includes a unique, secure TidyBooks email address for forwarding documents.
- If you believe your unique email address has been compromised, you may generate a new one from within your account.
- It is your sole responsibility to safeguard access to your forwarding address. You must take reasonable precautions to prevent unauthorized parties from accessing or using your unique inbox email address.
- Inbox Usage and Quota Protection: If malicious actors or third parties send unsolicited emails to your unique inbox address, this may consume your document processing quota. TidyBooks is not responsible for quota usage resulting from such unauthorized submissions and cannot provide quota refunds or reversals for negligence on your part in protecting your inbox address.
- In the event of spam or unauthorized usage, you should immediately regenerate your unique inbox email address through your account settings to prevent further unauthorized submissions.
Third-Party Integrations
Accounting Software (QuickBooks, Xero)
- You may connect your QuickBooks Online or Xero accounts to TidyBooks to sync categories, vendors, tax rates, and export documents.
- By connecting these services, you authorize TidyBooks to access, read, and write data to your accounting software as necessary to provide our Service.
- TidyBooks is not responsible for errors, data loss, or discrepancies in your accounting software resulting from synced or exported data. You are responsible for reviewing and verifying all exported transactions.
- You acknowledge that accounting software providers may change their APIs, terms, or access permissions at any time, which may affect Service functionality.
Cloud Storage Services (Google Drive, OneDrive, Dropbox)
- You may connect cloud storage accounts to extract, monitor, and export documents.
- By enabling folder monitoring, you authorize TidyBooks to receive notifications of file changes and automatically process new documents matching your configured filters.
- TidyBooks downloads and processes files from your connected cloud storage. Original files in your cloud storage remain under your control.
- You are responsible for ensuring you have the right to process documents stored in shared folders or shared drives.
Email Services (Gmail, Outlook, IMAP)
- You may connect email accounts to extract documents from email attachments.
- By enabling email extraction or monitoring, you authorize TidyBooks to access your emails and attachments as necessary to identify and process documents.
- TidyBooks processes only emails matching your configured filters (date ranges, senders, folders, etc.).
- Gmail and Outlook connect via OAuth. We never see your account password; we use scoped, read-only access tokens that you can revoke at any time.
- IMAP mailboxes (any email host that does not offer OAuth, such as Fastmail, ProtonMail, Yahoo, Zoho, or self-hosted business mail) require you to enter a username and password (or app-specific password). The password is encrypted at rest using a key tied to your account, is decrypted only on our servers at the moment we poll your mailbox, and is permanently deleted when you disconnect the account. We only ever issue read commands over IMAP. You are responsible for using an app-specific password where your provider supports one, and for revoking that password directly with your email provider if you suspect it has been compromised.
- Two-factor authentication (2FA) and app passwords: Many email providers require an app-specific password for IMAP access when 2FA is enabled on your account, and some (including Gmail, Yahoo, and iCloud) require an app-specific password regardless of whether 2FA is enabled. Where your email provider enforces 2FA but does not offer an app-specific password mechanism, IMAP access through TidyBooks may not be possible. In that case, please use OAuth (Gmail or Outlook) or one of the other supported document sources (cloud drives, WhatsApp, email forwarding, or direct upload). TidyBooks is not liable where IMAP connectivity is restricted by your email provider's authentication policy.
Messaging Services (WhatsApp)
- You may connect your phone number via WhatsApp to send documents directly to TidyBooks.
- WhatsApp integration requires verification of your phone number via OTP.
- Documents received via WhatsApp are subject to the same processing and storage terms as other uploaded documents.
- WhatsApp media files may expire on Meta's servers; TidyBooks stores copies of received media but cannot retrieve expired media from WhatsApp.
Your Responsibilities
- You are responsible for maintaining the security of your connected third-party accounts, including enabling two-factor authentication (2FA) and using strong passwords where available.
- You are responsible for ensuring your third-party accounts meet any security requirements mandated by your organization or applicable regulations.
- You must have proper authorization to connect accounts you do not personally own.
- You may disconnect any third-party account at any time from your account settings.
How We Access Connected Accounts
- For OAuth-based providers (Google, Microsoft, Dropbox, QuickBooks, Xero, WhatsApp), we use OAuth access tokens for server-to-server communication only. We do not store your account passwords.
- For IMAP-based email providers (any email host that does not offer OAuth), we store the password you provide to us encrypted at rest using a key tied to your account. The password is decrypted only on our servers at the moment we poll your mailbox, and is permanently deleted when you disconnect the account.
- Access tokens and stored IMAP credentials are encrypted at rest and are only used to perform the specific functions you have authorized.
- You can revoke our access at any time through your TidyBooks account settings or directly through the third-party service's security settings. For IMAP, revoking access deletes the stored password from TidyBooks; you should also revoke or rotate the password directly with your email provider.
General Third-Party Terms
- You are solely responsible for complying with the terms of service of any Third-Party Services you connect.
- TidyBooks may store encrypted access tokens for connected services. You may revoke access at any time through your account settings or the third-party service's settings.
- Third-Party Services may rate-limit, suspend, or modify API access without notice, which may temporarily affect TidyBooks functionality.
When you connect a third-party service, you are also subject to that service's terms of service and privacy policy. We are not responsible for the practices of third-party services.

AI Processing and Data Handling
- TidyBooks uses AI and OCR technology to extract and categorize data from your documents.
- Extracted data may include vendor details, dates, amounts, tax information, and document classifications.
- Your documents are never used to train our AI models.
- AI processing results are provided for convenience and may contain errors. You are responsible for reviewing and verifying extracted data before use in accounting, tax filings, or other business purposes.
- All processing is done securely, and results remain private to your account.

Accountant Practices and Managed Clients
Accountant Practice Accounts
- Accountant practices may subscribe to practice plans to manage multiple client organizations.
- Practice subscriptions operate on a license-based model. Each license permits management of one client organization.
- Practice administrators are responsible for all activities conducted by practice staff under their account.
Managed Clients
- Accountant practices may create fully managed client organizations that do not require separate client user accounts.
- Managed client data remains the property of the client, with the accountant practice acting as an authorized processor.
- If a practice subscription is cancelled or expires, managed client organizations will have a 90-day grace period before automatic deletion.
- We will send warning notifications to practice administrators at 60 and 80 days before deletion of orphaned managed client data.
Client Invitations
- Accountant practices may invite clients via email invitation or shareable invitation codes.
- Invitation codes and links expire according to the timeframes specified in the invitation.
- Practices are responsible for ensuring invitations are sent only to authorized recipients.
Accountant Practice Guarantee
To support accountant practices in giving TidyBooks a fair trial, we offer the following guarantee:
The Guarantee
If your accountant practice actively uses TidyBooks for 60 consecutive days from the date your paid subscription begins, and TidyBooks has not saved your team an average of 2 or more hours per client per month over that period, you may claim 2 months of free service, to be applied to subsequent billing cycles.
What "Active Use" Means
Active use requires that, throughout the 60-day period, you are either:
- Connecting and syncing your clients' accounts (such as Xero, QuickBooks, cloud storage, or email) through TidyBooks; or
- Manually managing your clients' accounts and processing their documents within TidyBooks on an ongoing basis.
Account creation, occasional logins, or initial onboarding without ongoing document processing do not constitute active use.
Claiming the Guarantee
- To claim the guarantee, you must contact us at info@tidybooks.tax after the 60-day period has elapsed.
- We will review your account's usage history and assess the time saved by your team to confirm eligibility.
- Time savings are evaluated by us based on documented usage patterns and reasonable benchmarks for comparable manual workflows.
- The 2 months of free service is offered at our sole discretion, and we reserve the final decision on whether the guarantee applies.
Combination with Other Offers
This guarantee cannot be combined with any other promotion, discount, referral credit, beta program benefit, or special offer. If you have received any other commercial offer from TidyBooks, this guarantee will not apply.
Free Trial
What the Trial Includes
- If a Free Trial is offered at signup, your organization receives access to the relevant paid plan (Basic for small businesses, or the Practice plan for accountants) for the trial period communicated to you at the time of signup. The trial period today is 14 days; we may change this with prior notice.
- No payment details are collected to start the trial.
- Plan limits during the trial match the corresponding paid plan.
What Happens at the End of the Trial
- When the trial period ends, your organization is blocked from creating new content, processing new documents, or syncing further with connected services until you start a paid Subscription.
- Read access and your existing data remain in place during this blocked state to give you time to subscribe and resume work.
- You may subscribe at any time before or after trial expiry through your billing settings.
Data Retention After an Unconverted Trial
- If you do not start a paid Subscription within 90 days of the trial expiring, your organization and all data associated with it (including documents, extracted data, connected account credentials, and transaction history) will be permanently deleted.
- We will send warning notifications to organization owners and admins before deletion takes place.
- Once deleted, data cannot be recovered. Backup copies may be retained for up to 90 additional days for disaster recovery purposes only.
- You may export your data at any time before deletion using the data export feature in your organization settings.
One Trial Per Customer
- Free trials are intended to allow a fair evaluation of TidyBooks. We may, at our sole discretion, decline a trial to any user, organization, or affiliated group of users that has previously been offered a trial.
Subscriptions
Subscription Options and Cancellation
Subscriptions provide access to premium features. You can cancel anytime, but charges remain effective through the current billing cycle.
Automatic Renewal
Subscriptions automatically renew unless cancelled before the renewal date.
Subscription Limitations
Only one subscription plan per account is permitted. Accountant practice subscriptions are per-practice, not per-user.
Usage Limits and Fair Use
Subscription plans include usage limits (documents and emails per month, bank transactions per month, storage, etc.). "Documents and emails" includes messages and documents received via WhatsApp, cloud drives, email forwarding, and direct uploads. Usage beyond plan limits may result in additional charges, reduced processing priority, or temporary feature restrictions until the next billing cycle.
Data Export Fair Use: Exports containing 500 or more document files to cloud drives are limited to once every 24 hours per organization. This applies to both document push exports and full data exports to cloud drives. JSON-only ZIP exports (metadata without original files) are not subject to this limit.
Managing Subscriptions
Subscriptions are managed securely via our Billing Portal, powered by LemonSqueezy. We reserve the right to change payment processors at our discretion in the future.
Pricing Model Changes
We may change pricing with prior notice, effective at your next billing cycle.
Historical Extractions
Scope of Subscription
Your subscription covers ongoing document and receipt processing from the date your subscription begins. New emails, files, receipts, and items processed by TidyBooks going forward are included in your plan.
Retrospective Extraction
If you wish to extract receipts, invoices, or other documents from periods before your subscription began, or from email and file history not already covered by ongoing monitoring, you may use the Historical Extractions feature.
Historical extractions are charged separately from your subscription and are not included in your standard plan allowance.
Pricing, Confirmation, and Upfront Payment
- When you initiate a historical extraction, the Historical Extractions wizard will display the cost before any charges are incurred.
- You may proceed with the extraction at your discretion, or discard the request at no charge.
- Payment is required upfront. Before any extraction work begins, you must complete payment of the displayed cost through our billing portal.
- The extraction will only commence once payment has been successfully processed.
- If payment fails, is declined, or is not completed, the extraction will not run and you will not be charged.
Minimum Charge
A minimum charge may apply to each historical extraction to cover payment provider fees (such as transaction processing fees), infrastructure costs, and the fixed cost of running the extraction job. This minimum charge applies regardless of the size of the extraction and will be reflected in the cost displayed by the wizard.
Overlapping Extractions
If you run multiple historical extractions whose date ranges or sources overlap, each extraction is processed independently and is charged separately, even if the resulting documents are duplicates of those already extracted.
This is because every extraction requires us to scan and process the underlying source data again to identify and verify documents. We do not provide credits or discounts for duplicate or overlapping content. To avoid duplicate charges, we recommend reviewing the wizard's date range and source selection carefully before confirming.
Non-Refundable Once Paid
Once payment has been completed and the extraction has begun, the charge is non-refundable. This applies even if the extraction yields fewer documents than expected, or no documents at all (for example, where the source contains no eligible documents within the specified period, or where the content has already been extracted in a prior run). You are paying for the extraction work performed, not a guaranteed quantity of unique results.
Affiliate Program
The Affiliate Program is the generic referral track for publishers, content creators, and businesses who recommend TidyBooks to their audience. The separate Partner Program (below) covers accounting and bookkeeping practices and operates on different terms.
Program Operation
TidyBooks operates an affiliate program that is powered by LemonSqueezy, our payment processing partner. The affiliate program allows eligible participants to earn referral commissions for successfully referring new customers to our Service.
Commission Structure
Referral commissions are determined and displayed within the LemonSqueezy affiliate portal. Commission rates and structures are subject to change at our sole discretion without prior notice. Current commission information is available to approved affiliates through their LemonSqueezy dashboard.
Program Changes
We reserve the right to modify, suspend, or discontinue the affiliate program at any time at our sole discretion. This includes, but is not limited to, changes in commission rates, payment terms, eligibility requirements, and the underlying platform provider.
Third-Party Platform
The affiliate program is administered through LemonSqueezy's platform. By participating in the affiliate program, you acknowledge that you will be subject to LemonSqueezy's terms of service and policies in addition to these Terms. We may change the affiliate platform provider at our discretion in the future.
Partner Program
The Partner Program is a separate referral track for accounting and bookkeeping practices that use TidyBooks with their clients. It is distinct from the generic Affiliate Program described above. The two programs share LemonSqueezy as the underlying payout infrastructure but operate on different terms.
Eligibility and Free Practice Plan
The Partner Program is open to accounting and bookkeeping practices that maintain an active TidyBooks practice account. Practice accounts (Accountant Practices as defined above) receive free access to the TidyBooks practice dashboard, team collaboration, and client management features. There are no seat charges and no per-client fees billed to the practice. Clients of the practice subscribe to TidyBooks independently and pay for their own plans.
Enrollment
The owner of a practice account may enroll their practice in the Partner Program from inside the practice dashboard. Enrollment requires acceptance of these terms and completion of the LemonSqueezy affiliate application. Once LemonSqueezy approves the application, the practice's Partner attribution is bound to the practice account (not to an individual user), and survives any subsequent change in staff or ownership of the practice account on TidyBooks.
Attribution Policy
Attribution is first-touch. The first time a new client organization signs up via a Partner invitation URL, the referring Partner is recorded against that organization permanently. Subsequent introductions, re-invitations, or co-management arrangements involving other Partners do not change the attribution. A client organization can have multiple practices linked to it for service purposes, but only the first-attributed Partner earns commission on that organization's subscriptions.
Commission Structure
Eligible Partners earn a recurring commission on subscription payments made by client organizations attributed to them, subject to LemonSqueezy's affiliate terms. Commission rates and payout schedules are administered by LemonSqueezy and visible to enrolled Partners in their LemonSqueezy dashboard. Commission rates and structures are subject to change at our sole discretion. Refunded payments produce a corresponding clawback of commission in line with standard affiliate practice.
Client Discount
Client organizations signing up through a Partner invitation URL automatically receive a discount on their first paid subscription. The current discount is 20% off the first 3 months and is applied at checkout. The Partner discount does not stack with any other promotion, beta credit, free-trial extension, or referral discount; where multiple offers would otherwise apply, the most generous applies. We may modify, suspend, or discontinue the Partner discount at any time at our sole discretion.
Anti-Fraud and Self-Referral
Subscriptions where the subscribing client organization includes any user who is also a member of the Partner's own practice are treated as self-referrals and produce no commission. We also rate-limit Partner invitations to a maximum number per day per practice to protect against bulk-invite abuse. Suspected fraud, manipulation of attribution, or other abuse of the Partner Program may result in suspension or termination of the Partner's enrollment and forfeiture of pending commissions.
Acceptable Use of the Partner Program
In addition to the Prohibited Uses section of these Terms, Partners participating in the Partner Program agree that they will not:
- Send invitations from the practice dashboard via automated tools, scripts, or other programmatic means, or to recipients who have not asked to be contacted by the practice. We enforce a reasonable per-day invitation limit per practice, and that limit may change without notice.
- Offer, advertise, or pay any form of cash, credit, discount, gift card, or other consideration to a prospective client in exchange for using a Partner invitation link or signing up through it. This mirrors LemonSqueezy's affiliate program rules and applies whether the offer is made publicly or privately.
- Encourage or assist any practice that is designed to manipulate attribution, including creating multiple TidyBooks accounts for the same underlying business solely to claim additional commissions.
Violations of this section are subject to the suspension, termination, and forfeiture provisions described in Anti-Fraud and Self-Referral above.
Practice Ownership and Staff Changes
The Partner enrollment is owned by the practice, not by the individual who completed the application. Changes to TidyBooks-side practice ownership do not by themselves change the LemonSqueezy account holder receiving payouts; updates to the LemonSqueezy payout recipient must be made directly with LemonSqueezy. Internal arrangements among practice staff regarding commission sharing are a matter for the practice and TidyBooks is not party to them.
Personal Affiliate Accounts
Members of a practice may, separately, hold a personal LemonSqueezy affiliate account and promote TidyBooks through their own channels under the general Affiliate Program. Inside TidyBooks, however, every client invitation sent through the practice dashboard routes commission to the practice's Partner enrollment. Personal affiliate links cannot be substituted for the practice's Partner attribution on team-channel invitations.
Program Changes and Third-Party Platform
We reserve the right to modify, suspend, or discontinue the Partner Program at any time at our sole discretion, including changes to commission rates, the client discount, payout terms, eligibility, and the underlying platform provider. The Partner Program is administered through LemonSqueezy's platform; by participating, you acknowledge that you will also be subject to LemonSqueezy's terms of service and policies.
Use of Customer Logos
By signing up for and using our Service, you grant TidyBooks permission to display your company's logo on our website and marketing materials to indicate that you are a customer. If you do not wish for your logo to be used, please notify us in writing.
Data Retention and Deletion
Active Accounts
While your account is active, your documents and data are retained according to your subscription plan.
Account Deletion
You may request deletion of your account and associated data at any time. Upon deletion request:
- Your account and personal data will be deleted within 30 days.
- Documents and extracted data will be permanently deleted.
- Some data may be retained for legal compliance, dispute resolution, or enforcement of these Terms.
Organization Deletion
Organizations may be deleted by owners. A grace period may apply to allow for data export before permanent deletion.
Managed Client Data
Managed client data orphaned due to accountant practice subscription cancellation will be deleted after 90 days, following warning notices.
Unconverted Free Trials
Organizations whose Free Trial expires without conversion to a paid Subscription are blocked from further use immediately at trial expiry. If no paid Subscription is started within 90 days of trial expiry, the organization and all its data are permanently deleted, following warning notices. See the Free Trial section above for full details.
Data Export
- You may export your organization data at any time from your organization settings. Exports include document metadata, financial data, organization settings, and member information. Sensitive credentials (passwords, OAuth tokens, API keys) are never included.
- Cloud drive exports (which include original document files) require your own connected cloud drive account (Google Drive, OneDrive, or Dropbox). You are solely responsible for the security and management of exported data once it leaves TidyBooks.
- ZIP export download links expire after 48 hours, after which the export file is automatically deleted from our servers.
- Practice administrators may export their practice's operational data (staff members, client list, invitations, subscription info). Client organization data must be exported separately from each client's organization settings.
Intellectual Property
Our Intellectual Property
TidyBooks, including its software, design, logos, and documentation, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written consent.
Your Content
You retain ownership of all Content you upload to TidyBooks. By uploading Content, you grant us a limited, non-exclusive license to store, process, and display your Content solely for the purpose of providing the Service.
Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you.
Indemnification
You agree to indemnify and hold harmless TidyBooks from claims arising from:
- Your use of the Service.
- Breach of these Terms.
- Violations of third-party rights.
- Unauthorized use of your account.
- Illegal activities connected with your use of the Service.
- Data exported to Third-Party Services through your account.
- Actions taken by practice staff under accountant practice accounts you administer.
Margin Calculator and Estimation Tools
The TidyBooks margin calculator and any similar estimation tools available on our website are provided for illustrative and informational purposes only. They are not financial, accounting, business, or legal advice.
Simplified Assumptions
To make the calculator usable, we have intentionally simplified the underlying calculations. Inputs such as average fee per client, hours saved per client, hourly cost, and full-time-equivalent (FTE) hours rely on generalised, industry-typical assumptions. They are not tailored to your specific business circumstances, jurisdiction, payroll structure, tax position, billing model, or operating costs.
Estimate Only
Outputs from the calculator are estimates only and may differ materially from your actual results. Real-world margin, savings, and capacity recovered depend on factors including (but not limited to) staff utilisation, client mix, client behaviour, software adoption, your existing workflows, and many factors outside our control.
No Reliance
You should not rely on the calculator's outputs to make business, financial, hiring, or pricing decisions without independent verification. We recommend consulting your own accountant, financial adviser, or business adviser before acting on any output.
No Liability
To the maximum extent permitted by law, TidyBooks accepts no responsibility or liability for any decisions, losses, damages, or claims arising from your use of, or reliance on, the calculator or its outputs.
Warranty Disclaimer
TidyBooks is provided "AS IS" and "AS AVAILABLE", without warranties of:
- Accuracy, reliability, or completeness of AI-extracted data.
- Uninterrupted or error-free Service availability.
- Compatibility with all Third-Party Services.
- Fitness for any particular purpose.
Limitation of Liability
TidyBooks is not liable for:
- Indirect, incidental, consequential, or punitive damages arising from your use of the Service.
- Data loss resulting from Third-Party Service changes, outages, or API modifications.
- Errors in AI-processed or OCR-extracted data.
- Actions taken based on exported data in accounting software.
- Loss of revenue, profits, or business opportunities.
Our total liability for any claims shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
Governing Law
These Terms are governed by the laws of Victoria, Australia.
Dispute Resolution

Data Deletion
Upon termination for Terms violations, we reserve the right to permanently delete your account and all associated data, documents, and files without prior notice or the ability to recover such data. This deletion is irreversible.
No Refunds for Violations
No refunds will be provided for subscription fees if your account is terminated due to violations of these Terms.
